NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period:

 

The Company has experienced a delay in completing the information necessary for inclusion in its Form 10-K for the fiscal year ended December 31, 2019 as certain financial and other information necessary for an accurate and full completion of the Report could not be provided within the prescribed time period without unreasonable effort or expense. The Company expects to file its Form 10-K Annual Report within the allotted 15-day extension period.

 

Additional time is needed due to quarantine mandates and observance of other protective measures by Company staff and service providers located in the New York City metro-area and Toronto / Ontario Coronavirus hot spots. The Company is not going to utilize the 45-day extension for filing the Form 10-K annual report for the year ended 12-31-19 due to the effects of COVID-19 as afforded under the SEC's Order Under Section 36 of the Securities Exchange Act of 1934 Modifying Exemptions from the Reporting and Proxy Delivery Requirements for Public Companies (Release No. 34-88465 dated March 25, 2020).
