The registrant is unable to file its Annual Report on Form 10-K for the period ended December 31, 2022 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense, due to lack of accounting staff resulting from financial constraints on the registrant. The registrant intends to take all necessary measures to file the Form 10-K as soon as possible.
