PART III - NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
As disclosed in the Current Report on Form 8-K filed on July 17, 2023 by ViewRay, Inc. (“we,” “us,” “our,” or the “Company”), together with its subsidiary, ViewRay Technologies, Inc., commenced the filing of voluntary petitions (the “Chapter 11 Cases”) under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the District of Delaware beginning on July 16, 2023.
The Company’s financial, accounting and other administrative personnel have devoted substantially all of their time to address matters related to the Chapter 11 Cases, including, among other things, the maintenance of the Company’s ongoing operations, the development of the Company’s post-petition strategy and the Company’s recent reduction in force. The commencement of the Chapter 11 Cases and these other matters have accordingly diverted the attention of the Company’s personnel and resources from the completion of the Company’s quarterly financial reporting procedures and the review of other financial and accounting matters required for the preparation of the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2023 (the “Q2 10-Q”). In addition, the Chapter 11 Cases involve various complex accounting implications on multiple aspects of the Company’s financial reporting and the Company’s accounting and financial reporting requirements in accordance with U.S. Generally Accepted Accounting Principles (“GAAP”) and United States Securities and Exchange Commission (the “SEC”) regulations. Accordingly, the Company is unable to file its Q2 10-Q by the prescribed date without unreasonable effort or expense due to a lack of sufficient personnel and resources.
At this time, the Company cannot estimate when it will be able to file the Q2 10-Q.
The Company cautions that trading in the Company’s securities during the pendency of the Chapter 11 Cases is highly speculative and poses substantial risks. Trading prices for the Company’s securities may bear little or no relationship to the actual recovery, if any, by holders of the Company’s securities in the Chapter 11 Cases. The Company cannot be certain that holders of the Company’s common stock will receive any payment or other distribution on account of those shares following the Chapter 11 Cases.
