State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

US Lighting Group, Inc. was unable to timely file its Form 10-K for the year ended December 31, 2022 due to engaging new auditors in February 2023, little more than a month before the Form 10-K due date. On November 30, 2022, Maloney + Novotny LLC resigned as our public accounting firm. After a careful search, we engaged BF Borgers CPA PC, Lakewood, Colorado, to serve as our independent registered public accounting firm to audit the company’s 2022 financial statements to be included in the Form 10-K. We expect to file our Form 10-K within the fifteen-day extension period provided by Rule 12b-25.

We expect to report sales from continuing operations for 2022 of approximately $1.0 million, compared to $67,000 for 2021. The increase in sales is attributed to new sales through our Cortes Campers subsidiary in 2022.
