Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 17, 2010, effective immediately, Peter Garson-Rappaport resigned from the Board of Directors of United Energy Corp. (the “Company”).  The resignation of Mr. Garson-Rappaport was not a result of any disagreement with the Company.
