ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

 

On December 22, 2008 (the “Effective Date”) the Issuer made payment on a sublease of a coal property in Leslie County, Kentucky on the Sizemore Branch of the Hyden West Quadrangle.  The payment caused the agreement to become effective on the Effective Date. This sublease covers the Hazard 10 seam covering approximately 4 and 1/3 acres.  The Hazard 10 is about 40 inches thick in this region.  The Issuer has also agreed to pay The Lost Creek Land and Mineral Company to permit and mine the seam. This is the first coal lease purchased by the Issuer.
