Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(a)  On March 3, 2010, Mr. Thomas E. Persons, Sr., age 65, a director of Touchmark Bancshares, Inc. (the “Company”) and the Company’s national bank subsidiary, Touchmark National Bank (the “Bank”), announced his retirement from his position as chairman of the board and director of the Company and the Bank.  Mr. Persons was a member of the Company’s audit committee and executive committee.  Mr. Persons informed the board that he was retiring in order to allow for a new chairman who could promote more cohesive board action at the Company and the Bank.  Mr. Persons’ letter, which is attached hereto as Exhibit 17.1 and incorporated herein by reference, includes a description of the circumstances related to his retirement.  The Company has provided Mr. Persons with a copy of the disclosure set forth herein.

(b)  On March 8, 2010, Daniel B. Cowart resigned from his position as a director of the Company and the Bank.
