Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 24, 2015, Mr. John Watson informed the Board of Directors of the Registrant that he would not stand for re-election at the Registrant’s 2015 Annual General Meeting of Shareholders. Mr. Watson’s determination not to stand for re-election did not arise from any disagreement with the Registrant, known to an executive officer of the Registrant, or from any matter relating to the Registrant’s operations, policies or practices. Pursuant to Mr. Watson’s determination not to stand for re-election, Mr. Watson will effectively resign from the Board on September 24, 2015 immediately following the Registrant’s Annual General Meeting of Shareholders and the size of the Board will be reduced from six directors to five.
