As a result of the corporate relationship between TMHD and TMAM, TMHD is deemed to share investment discretion with TMAM with respect to Section 13(f) securities over which TMAM exercises investment discretion. Delphi Financial Group, Inc. is a direct wholly-owned subsidiary of Tokio Marine & Nichido Fire Insurance Co., Ltd. ("TMNF") and an indirect wholly-owned subsidiary of TMHD. TMNF is a direct wholly-owned subsidiary of TMHD.
