Explanation of Responses:
( 1)	Reflects the issuance of options to purchase up to 18,000 shares of common stock granted to Mr. McFarland on June 30, 2011 for his service as a director of Searchlight Minerals Corp. The options vest immediately and expire on the five year anniversary of the date that they vest. The options were granted under Searchlight Mineral Corp.'s 2007 Stock Option Plan.
( 2)	Reflects the issuance of options to purchase up to 200,000 shares of common stock granted to Mr. McFarland on May 1, 2010 for his services as a director of Searchlight Minerals Corp. The options will vest pro rata over four years, from May 1, 2011 through May 1, 2014. The options each expire on the five year anniversary of the date that they vest.
