Item 7.01 – Regulation FD Disclosure.

 

Beginning on June 8, 2023, SMG Industries Inc. (the “Company”) intends to provide information regarding an offer to convert a portion of the Company’s outstanding debt into Company common stock to its stockholders and certain third parties in connection with a proposed transaction to acquire a diversified transportation business in the Northeastern United States. A copy of the presentation slides that will be made available is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
