Item 5.03 Amendments to Articles of Incorporation or Bylaws

 

As previously disclosed in our Schedule 14C filed February 20, 2020, on December 20, 2019, our board of directors and holders of a majority of our voting capital stock acted by written consent in lieu of a special meeting of stockholders to approve an amendment to our Articles of Incorporation to increase our authorized shares of common stock from 200,000,000 shares to 1,000,000,000 shares.

 

This amendment to our Articles of Incorporation, a copy of which is filed herewith as Exhibit 3.1, became legally effective on March 17, 2020.
