Item 8.01 Other Events.

As of June 30, 2021 Regen Biopharma, Inc. ( the “Company”) had principal indebtedness on convertible notes of $2,364,075 . Between July 1, 2021 and December 13, 2021 the Company satisfied $1,023,454 of principal indebtedness on convertible notes. As of December 13, 2021 principal indebtedness on convertible notes was $1,340,621.
