EXPLANATORY NOTE

 

The sole purpose of this Amendment No. 1 to RAADR, INC.’s Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2016, originally filed with the Securities and Exchange Commission on June 14, 2019, is to file Exhibit 101 to the Form 10-Q in accordance with Rule 405 of Regulation S-T. Due to a technical error, the eXtensible Business Reporting Language (XBRL) data was not included with the initial Form 10-Q filed on June 14, 2019.

 

No other changes have been made to the Form 10-Q. This Amendment No. 1 speaks as of the original filing date of the Form 10-Q, does not reflect events that may have occurred subsequent to the original filing date, and does not modify or update in any way disclosures made in the original filing of the Form 10-Q.

 

The 10-Q itself was filed in connection with a filing by the Company with the Financial Industry Regulatory Authority (“FINRA”) relating to a proposed corporate action. In February 2017, the Company terminated its registration with the U.S. Securities and Exchange Commission (the “SEC”) by filing its Form 15, and as such, the Company was no longer required to file periodic reports with the SEC. However, FINRA requested that the Company file this and one additional report. This quarterly report speaks only as of the period covered by this report, other than the number of shares outstanding, which is as of a recent practicable date, and Note 8 - Subsequent Events. All other information is as of the period covered by the 10-Q, and no efforts have been made to bring the information more current.
