These shares represent Restricted Stock Units granted to the Reporting Person. 37,500 shares will vest on July 31, 2015, 18,750 Shares will vest upon filing of the Issuer's Annual Report on Form 10-K for the year ended July 31, 2015 and 18,750 shares will vest upon the filing of the Company's proxy statement for the 2016 annual meeting of stockholders. Vested shares will be delivered to the Reporting Person on the earlier of (i) six months after each vesting date, (ii) upon the separation of the Reporting Person's service to the Issuer or (iii) upon a change of control.
