Explanation of Responses:
( 1)	The options are subject to a vesting schedule whereby 1,000,000 options will vest on each of March 18, 2017, March 18, 2018 and March 18, 2019. The term of the options is the lesser of (a) ten (10) years, measured from the date immediately preceding the date on which the options were granted, or (b) seven (7) years from the applicable date of vesting.

Remarks: This Form 4 amends and restates an erroneous Form 4 filed on October 31, 2016 that identified the Reporting Person as "Plastic2Oil, Inc."
