Item 8.01 Other Events
 

On September 25, 2009, Online Vacation Center Holdings Corp. (the “Company”) entered into an agreement with Pacific Tour Services (“PTS”) to purchase 784,310 shares of the Company’s common stock at a purchase price of $0.50 per share. The purchase price was paid from the Company's working capital. William Cataldo, a shareholder who beneficially owns more than 5% of the Company, has voting and dispositive power over investments held by PTS. This repurchase transaction is not part of the Company’s previously announced repurchase program.
