Item 3.02 Unregistered Sales of Equity Securities

 

Odyssey Group International, Inc. (the “Company”) and Vivakor, Inc. (“Vivakor”) are parties to certain convertible debt agreements dated January 4, 2017, which were subsequently amended on November 15, 2017 and February 1, 2018 (as so amended, the “Convertible Debt Agreements”). On June 4, 2020, pursuant to the Convertible Debt Agreements, Vivakor converted the debt and interest under the Convertible Debt Agreements into common stock of the Company. The amount converted was $809,577.85 and the conversion price was $1 per share resulting in a total of 809,578 shares of the Company’s common stock being issued (the “Shares”).

 

The issuance of the Shares was exempt from registration under Securities Act Section 4(a)(2). Vivakor is sophisticated and represented in writing that it is an accredited investor and was acquiring the securities for its own account for investment purposes. A legend will be placed on the Shares stating that the securities have not been registered under the Securities Act and cannot be sold or otherwise transferred without registration or an exemption therefrom.
