ITEM 3.02                          ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On May 21, 2015, we issued 3,500,000 restricted shares of our Series A Preferred Stock for services rendered by Steven Baritz our president.  Each share of Series A Preferred Stock has 1,000 votes and the Series A Preferred votes with the common and other classes of preferred stock on all matters submitted to shareholders.
