The Board of Directors of Midland Capital Holdings Corporation (the “Company”) by resolution adopted on June 27, 2008 approved the termination of registration of the Company’s common stock under the Securities Exchange Act of 1934, as amended. A copy of the press release announcing the deregistration is attached to this current report on Form 8-K as Exhibit 99.1.
