Item 5.07 Submission of Matters to a Vote of Security Holders
On January 17, 2023, Lightstone Value Plus REIT III, Inc. (the “Company”) reconvened its annual meeting of stockholders originally scheduled for December 8, 2022 (the “Annual Meeting”). A total of 8.7 million shares of the Company’s common stock outstanding and entitled to vote were represented at the Annual Meeting in person or by proxy, representing approximately 68.1% of the total number of shares entitled to vote.
At the reconvened Annual Meeting, the Company’s stockholders approved a proposal to amend and restate the Company’s charter. The proposal is discussed in detail in the Company’s definitive proxy statement dated and filed with the Securities and Exchange Commission on October 18, 2022. The number of votes cast with respect to the amendment and restatement of the charter were as follows:
