 Item 5.01 Changes in Control of Registrant.

On January 26, 2017, Tony Khoury, formerly adirector and CEO of the Company, assigned 16,065,000 shares of the Company’s common stock to Chris Cook, the Company’s current CEO. The shares were exchange in consideration of a cash payment equal to the par value of the shares and any salary and other compensation due to Mr. Cook.

The shares represent approximately 86% of the shares currently issued and outstanding common shares of the company.
