Item 2.03

Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On August 13, 2015, John Seitz, the Company’s chief executive officer and the Chairman of the Company’s board of directors, loaned the Company $90,000.  John Seitz has loaned the Company a total of $250,000 during July and August 2015.  The Company entered into promissory notes for this amount which are substantially identical to previously issued non-convertible demand notes.
