(1)	300,000 of these shares were issued by the Issuer in satisfaction of unpaid compensation owed to the reporting person during the 2020 fiscal year and 2,700,000 of these shares were issued by the Issuer as a one-time bonus to the reporting person in recognition of her extraordinary and unconditional service to and sacrifice for the benefit of the Issuer between 2012 and 2020. This issuance was previously disclosed in a Current Report on Form 8-K filed by the Issuer on December 28, 2020.
