Explanation of Responses:
( 1)	The Reporting Person is the owner of 100% of the membership interest and the sole manager of New World Power, LLC and therefore controls such entity. By virtue of such control, the Reporting Person shall be deemed to beneficially own all the Issuer's securities issued to New World Power, LLC.
( 2)	The Conversion Price of Series A Convertible Preferred Stock may be subject to adjustments as set forth in the Certificate of Designation of Series A Convertible Preferred Stock, dated August 20,2008.
