INFORMATION TO BE INCLUDED IN THE REPORT

ITEM 502(b).  Departure of Directors.

In an email to the Board of Directors, Simon James, a current director of CompuMed, Inc., respectfully resigned from the Board of Directors of CompuMed, Inc.  Mr. James stated that his reasons for resigning were purely personal and that his other time commitments had grown such that he would be unable to provide adequate attention to his role as a Director.
