Item 5.03. Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 17, 2009, the Registrant filed with the South Carolina Secretary of State Articles of Amendment (the "Articles of Amendment") for the purpose of amending its Articles of Incorporation to fix the preferences, limitations and relative rights of the Series A Fixed Rate Cumulative Perpetual Preferred Stock.

The Articles of Amendment for the Series A Fixed Rate Cumulative Perpetual Preferred Stock are attached hereto as Exhibit 4.1 and incorporated by reference herein.
