Item 8.01 Other Events.

 

On June 19, 2020, Bespoke Extracts, Inc. (the “Company”) issued 23,000,000 shares of common stock, for a purchase price of $0.001 per share to Danil Pollack, the Company’s chief executive officer, for aggregate gross proceeds of $23,000. The Company issued such shares upon Mr. Pollack’s exercise of his right to purchase granted under Mr. Pollack’s employment agreement.

 

In connection with the foregoing, the Company relied upon the exemption from registration provided by Section 4(a)(2) under the Securities Act of 1933, as amended, for transactions not involving a public offering.
