PART III - NARRATIVE

The reasons the Company will be late in the filing of its Annual Report are as follows: Despite diligent efforts, the work necessary to complete the Company’s preparation of its annual financial statements and assemble all of the necessary business information to complete required disclosures has caused delay in preparation and completion of the Company’s Annual Report and its attachments for the year ending at December 31, 2015. Accordingly, the Company is unable to file its Annual Report for the period ending December 31, 2015 within the prescribed time period without unreasonable effort or expense.

In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company will file its Form 10-K no later than the fifteenth calendar day following the prescribed due date.
