Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On June 17, 2015, Jim Waltz informed Adaptive Medias, Inc. (the “Company”) by letter that he was resigning as the interim Chief Operations Officer and as a Director of the Company, effective immediately. Mr. Waltz’s letter, a copy of which is filed as Exhibit 10.1 to this Form 8-K, indicates that his resignation was due to a disagreement over certain policies and practices of the Company. The Company maintains that its policies and practices are in the best interest of its shareholders and that it has acted in accordance with the terms of any and all agreements between itself and Mr. Waltz.
