Item 5.02          DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

          On November 20, 2008, G. William Sudyk, a director of AB&T Financial Corporation, Gastonia, North Carolina, North Carolina (the "Registrant"), resigned from teh board of directors of the Registrant and that of its wholly owned subsidiary, Alliance Bank & Trust Company.

                 Mr. Sudyk's resignation was not due to any disagreement with the Registrant.
