Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers



On February 5^th, 2020, Andy Weichu Sheng has resigned from his position as the Chief Operating Officer (“COO”) of America Great Health (the “Company”). 



Effective April 1^st, 2020, David Liu, will be appointed as the Company’s COO in replacement of Mr. Sheng. Mr. Liu has been a General Partner of a healthcare private equity firm Avoda Capital in Shanghai China; he’s also a founder and CEO of a healthcare management consulting company Cherokee Rose Group. Prior to that, he served as General Manager and Vice President of McKesson-US in its Asia Pacific region for ten years. Mr. Liu also served as COO one of the biggest e-commercial platform YesAsia.com in the past. Mr. Liu holds two Bachelor Degrees of Operational Research and Industrial Engineering Science, as well as a MBA Degree from Cornell University.
