Completion of the Acquisition of Cellular Holdings Limited and Admission to AIM



The Telecommunications Group plc (formerly called Roxspur PLC) (the "Company")
announces completion of the acquisition of Cellular Holdings Limited ("Cellular
Holdings") and the admission today of the entire issued share capital of the
Company to trading on AIM (consisting of 378,262,622 new ordinary shares of 1p
each) ("Admission").  The share reorganisation reducing the nominal value of
each ordinary share from 10p to 1p was effected upon Admission.



Board Changes



Effective today, Michael Hanna is appointed Chief Executive Officer, Graham
Pollard is appointed Sales and Commercial Director and Ross Sampson is appointed
Marketing Director.  Peter Ryan will continue as Chairman and Martin Eberhardt,
who is currently a non-executive Director, will be appointed as Group Finance
Director.



Grant of Options



In accordance with the resolutions passed at the Extraordinary General Meeting
held on 23 October 2003, options to subscribe for new ordinary shares have today
been granted to Peter Ryan, Martin Eberhardt and Graham Pollard as follows:
