(the "Corporation" or "Southern Pacific") (TSX VENTURE:STP) is pleased to announce that it has closed its previously announced bought deal financing with a syndicate of underwriters co-led by BMO Capital Markets and TD Securities Inc. and including Raymond James Ltd., RBC Capital Markets, Canaccord Genuity Corp., Acumen Capital Finance Partners Limited and Byron Securities Limited (the "Underwriters"). Pursuant to its short form prospectus dated May 10, 2010, the Corporation issued 84,000,000 common shares ("Common Shares") at a price of $1.20 per Common Share for gross proceeds of $100.8 million. As previously announced, the Corporation has granted the Underwriters an over-allotment option to acquire up to an additional 12,600,000 Common Shares at a price of $1.20 per Common Share. This option is exercisable, in whole or in part, by the Underwriters, in their sole discretion, at any time up to 30 days after the closing date. If the over-allotment option is exercised in full, additional gross proceeds will be $15.1 million for total gross proceeds of $115.9 million. The securities offered have not been and will not be registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or applicable exemption from the registration requirement.
