Rainmaker Mining Corp Announces Financing

Rainmaker Mining Corp. (TSX VENTURE:RMG) ("Rainmaker") is pleased to announce
that it is proposing to make a non-brokered private placement of up to 7 million
units at a price of $0.15 per unit, for gross proceeds of $1,050,000. Each unit
will consist of one common share and one half share purchase warrant with one
full warrant being exercisable to purchase one additional common share of
Rainmaker at a price of $0.20 for period of 24 months following the closing of
the private placement.


A finder's fee may be payable with respect to the placement. The placement is
subject to TSX Venture Exchange approval.


The proceeds of the financing will be spent on working capital of the Company.
