Rolling Rock Resources Corporation Private Placement

Rolling Rock Resources Corporation (the "Company") (TSX VENTURE:RLL) announces a
non-brokered private placement (the "Private Placement") with aggregate gross
proceeds of up to $720,000 from the sale of up to 4,500,000 units at a price of
$0.16 per unit (the "Unit"). Each Unit will consist of one flow-through common
share and one-half of one non-transferable common share purchase warrant (a
"Warrant"). Each whole Warrant will entitle the holder thereof to purchase an
additional common share for a price of $0.45 per share for a period of one year
from the date of closing of the Private Placement.


The Company will pay a 7% finder's fee in common shares, subject to the TSX
Venture Exchange policies. The Private Placement is subject to compliance with
applicable securities laws and to receipt of regulatory approval.


Proceeds of the Private Placement will be used primarily for continued
exploration of the Company's Domain Property.
