Prosperity Undertakes $130,000 Private Placement

Prosperity Goldfields Corp. (the "Company" or "Prosperity") (TSX VENTURE:PPG)
announces its intention to carry out a non-brokered private placement of
2,600,000 common shares at a price of C$0.05 per common share for gross proceeds
to the Company of C$130,000 (the "Offering").


Prosperity will apply the net proceeds of the Offering to property maintenance
fees and for general working capital purposes.


All securities issued under the Offering will be subject to a four-month hold
period in accordance with applicable Canadian securities laws.


Closing of this Offering is subject to the receipt of all necessary regulatory
approvals including that of the TSX Venture Exchange.
