                                Grant of Options


The Board announces it has today granted options under the Company's Executive
Share Option Scheme ("Scheme") to certain Directors and senior management as
detailed below.  The options have an exercise price of 1461/2p (based on the mid
market price at the close of business on 24 June 2003) and are capable of being
exercised from the date of the announcement of the Company's preliminary results
for the year ended 31 October 2006 until the announcement of the Company's
preliminary results for the year ended 31 October 2012.  The options can be
exercised if the earnings per share (adjusted for the impact of acquisitions) in
the year of exercise have increased by not less than 6 per cent compound from
base earnings per share of 12.6p for the year ended 31 October 2003 (derived
from market forecasts).

John Waterworth, Graham Wilson and Michael Norden already have 500,000, 300,000
and 200,000 options respectively, all at an exercise price of 100p.  In
addition, John Waterworth, Graham Wilson and Michael Norden own 598,835, 592,606
and 72,741 ordinary shares in the Company respectively (being 1.52 per cent,
1.50 per cent and 0.18 per cent of the Company's issued ordinary share capital
respectively).

The Board has also granted 340,000 options under the Scheme to senior
management.  The same exercise price and criteria apply.

Any grants of options in excess of #30,000 will be made via the unapproved
Executive Share Option Scheme and all today's option grants are conditional upon
the approval by shareholders to amendments to the Scheme at an extraordinary
general meeting of the Company to be held on 5 August 2003 (notice of which will
be posted shortly to Shareholders with the Interim Statement).
