                     Parkdean Holidays plc ("the Company")
                               Director's Dealing



The Board has received notification that 3i & 3i Funds have today entered an
Agreement in respect of the 550,000 Parkdean Holidays plc ordinary shares of 20p
each ("Ordinary Shares") which were the subject of the Put and Call Option
entered into with Graham Wilson and John Waterworth, Chairman and Chief
Executive of the Company respectively, as detailed in the prospectus dated 22
May 2002.



Pursuant to this Agreement, these 550,000 Ordinary Shares have been purchased at
a price of 100p per share by Nick Magoolagan, a non-executive director of the
Company, and an associate of his, and accordingly, 3i & 3i Funds and Graham
Wilson & John Waterworth are mutually released from their obligations under the
Put and Call Option.



Following this acquisition Nick Magoolagan owns 275,000 Ordinary Shares,
representing 0.85% of the Company's issued ordinary share capital.
