ODESIA Completes the Sale of Interfacing Technologies Corporation

ODESIA Group Inc. ("ODESIA" or the "Corporation") (TSX VENTURE:ODS), announces
that it has closed the sale of all of the issued and outstanding shares of
Interfacing Technologies Corporation, a wholly owned subsidiary of the
Corporation, to Dempton Consulting Group ("Dempton").


For a total consideration of $909,584 payable through Dempton's assumption of
the debt due to Mr. Meir Levi by the Corporation and Mr. Meir Levi's employment
agreement, the transaction allows the Corporation to focus on its core business'
activities.
