"Agreement") between Z-Gold Exploration Inc. (the "Company") and an Arms
Length individual (the "Vendor") pursuant to which the Company will
acquire a 100% interest in a mineral claim package located in the
Monseignat Township in the Val-d'Or Mining Division of Quebec. In
consideration, the Company will pay a total of $40,000 and 800,000
common shares to the Vendor. Exploreco Inc. is entitled to receive a Net
Smelter Return Royalty of 1.5% in cash or in shares with a full buyback
for a one-time payment of $1,500,000.

This transaction was announced in the Company's press release dated
April 28, 2010

Further to the Exchange bulletin dated May 5, 2010 trading in the
Company's securities will remain suspended.

Members are prohibited from trading in the securities of the Company
during the period of the suspension or until further notice.
