Constellation Software Inc. Reaches Agreement to Acquire Municipal Software Corporation

Constellation Software Inc. ("Constellation") (TSX:CSU) announced today that its
wholly-owned subsidiary N. Harris Computer Corporation ("Harris") has reached an
agreement to acquire substantially all of the assets of Municipal Solutions
Group ("MSG") (TSX VENTURE:MSZ), including the shares of its wholly-owned
operating subsidiary, Municipal Software Corporation ("MSC") (but excluding
those assets which constitute MSG's "Local Government Manager" product). MSC is
focused on the delivery of permits & inspections, planning & zoning, and code
enforcement software solutions to municipal government clients throughout North
America. MSC will complement Harris' growing land management solution practice
with the addition of a market leading solution and over 125 customers.


The transaction is expected to close in mid to late July and is subject to
customary closing conditions, as well as approval by the shareholders of MSG,
and receipt of all necessary stock exchange and other regulatory approvals.
Harris has entered into an agreement with MSG's largest single shareholder
(which shareholder owns approximately 52.2% of the total number of issued and
outstanding shares of MSG) pursuant to which the shareholder has agreed to vote
its shares in favour of the transaction.
