Key Gold Holding Announces Private Placement

Key Gold Holding Inc. (TSX VENTURE:KGH) is pleased to announce a non-brokered
private placement financing consisting of up to 1,500,000 common shares (the
"Shares") at a purchase price of $0.20 per Share to raise gross proceeds of up
to $300,000 (the "Private Placement").


The Company expects Insiders will be subscribing for more than 25% of the
Private Placement. The Shares issued will be subject to a hold period of four
months and one day.


Proceeds of the Private Placement will be used for working capital. The Private
Placement will be subject to approval by the TSX Venture Exchange.
