First Closing of the Private Placement Announced on September 1st, 2010

   Key Gold Holding Inc. (TSX VENTURE: KGH) (the "Company") hereby announces the first closing of its private placement disclosed in its press release dated September 1st, 2010, pursuant to which 1,820,000, shares were issued at a price of $0.125 per share for proceeds of $227,500. Additional closings may take place on or before December 20, 2010.
