has recommended that shareholders of EnerCare vote FOR all resolutions,
including the re-election of management's director nominees, the ordinary
resolution reconfirming the shareholders rights plan agreement and the ordinary
resolution approving the adoption of a share option plan including the
reservation of common shares and the grant of options thereunder at EnerCare's
Annual and Special Meeting of shareholders to be held on May 1, 2014. EnerCare's
