ENGINEERING.com Incorporated (the "Company") (TSX VENTURE:EGN), developer of the ENGINEERING.com online resource for engineers, announces the filing of an early warning report by its president, John Hayes. Mr. Hayes acquired ownership of 21,000 common shares, representing 0.05% of the outstanding shares, for investment purposes. The transaction was conducted through the facilities of the TSX Venture Exchange at a price of $0.03 per share. Before the transaction, Mr. Hayes owned 2,365,000 common shares and 3,000,000 stock options, of which 2,250,000 stock options are currently exercisable for common shares of the Company. With the common shares purchased in this transaction, Mr. Hayes now owns 5.4% of the Company's outstanding shares, based on the 43,570,623 common shares that are currently outstanding. If Mr. Hayes exercised all of his stock options that are currently exercisable, he would, in the aggregate, own approximately 10% of the Company's then outstanding shares.
