Compensation - $2,700. Stock Options - CFS will grant, subject to regulatory
approval, 75,000 stock options at a price of $0.25 per share and 50,000 stock
options at a price of $0.50 per share for a total of 125,000 incentive stock
options to Agoracom exercisable for a period of two years pursuant to the
Company's stock option plan.


This agreement has been negotiated entirely at arm's length. AGORACOM is located
