Interest accrues on a 365-day year. Units of the Issuer may be issued to the Debenture Trustee and sold, with the proceeds used to satisfy the obligations to pay interest on the Debentures. Subordination: The payment of principal and interest on the Debentures is subordinated in right of payment to the extent set forth in the trust indenture governing the Debentures to the prior payment in full of all existing and future senior indebtedness of the REIT. Conversion: Each Debenture will be convertible, at the Debentureholder's option, into Trust Units at any time prior to 5:00 p.m. (Toronto time) on the earlier of March 31, 2016 and the last business day preceding the redemption date, at a price of $2.20 per Unit (the "Conversion Price").
