AgriTec Calls Shareholders' Meeting

AgriTec Systems, Inc. ("AgriTec" or the "Corporation") (TSX VENTURE:AGR) is
pleased to announce that an annual general meeting (the "Meeting") of its
shareholders has been called for May 26, 2009. The Notice of Meeting, Management
Proxy Circular and Instrument of Proxy in respect of the Meeting will be filed
on SEDAR and mailed to shareholders in due course in accordance with applicable
legislation and regulation.


The Corporation is currently in default of the requirements of the TSX Venture
Exchange, in that it has not held a shareholders' meeting for in excess of 15
month, and the foregoing is being disseminated at the request of the said
Exchange.


The Corporation also wishes to note that Mr. Greg Wellen is currently serving as
President and CFO of AgriTec, as opposed to President and CEO as indicated in a
press release disseminated on February 23, 2009. Mr. C.W. Wellen, the Chairman
of AgriTec's board of directors, currently serves as CEO.


AgriTec is a Houston, Texas based corporation engaged in the pursuit of "clean
tech" business opportunities for the conversion of bio-mass into value added
commodities, and has been issued a number of patents in this regard. The
Corporation's common shares are listed on the TSX Venture Exchange under the
trading symbol "AGR".
