Alpha Cognition Announces Stock Option Grant

Alpha Cognition Inc. (TSX-V: ACOG) (“Alpha Cognition”, or the “Company”), a biopharmaceutical company committed to developing novel therapies with the potential to transform the lives of people with debilitating neurodegenerative disorders, announces the grant of 3,500,000 stock options (“Options”) to certain officers and employees of the Company pursuant to the Company’s stock option plan.

Each Option is exercisable to acquire one common share of the Company at a price of $0.90 per common share until August 3, 2031. The Options will be subject to vesting vest as to 25% on the first anniversary of the date of grant, and the remaining 75% will vest in equal monthly instalments until the third anniversary of the date of grant, with the exception that 400,000 of the options granted will be subject to vesting based on a combination of quarterly vesting and performance criteria.

ALPHA-0602 (Progranulin) is expressed in several cell types in the central nervous system and in peripheral tissues, regulates cell survival and certain inflammatory processes, and plays a major role in regulating lysosomal function and microglial responses to disease. Its use for the treatment of neurodegenerative diseases has been patented by the Company and granted an Orphan Drug Designation.
